The first step of the procedure for setting up a branch of a joint-stock company is to prepare the needed dossiers:

• Notice of establishment of the branch (according to the form in Circular 02/2015/TT-BKHĐT).

Methods to establish a branch

Currently, there are two forms to submit an application:

• Register directly: apply at the “one-stop” department of the Business Registration Office. However, in Hanoi, this method is no longer applied.
• Besides, online business registration: submit your application on the National Business Registration Portal (Address: https://dangkykinhdoanh.gov.vn). After the online application is valid, you will have to go directly to the “one-stop” department to return the scanned copy (hard copy) when submitting it online. However, this method is relatively complicated, requiring you to have skills and knowledge about registering a business account.

Step 1: Submit your application

Submit the application at the Business Registration Office of the Department of Planning and Investment of the province or city where the branch operates.

Step 2: Review and check the application

The Business Registration Office checks the validity of the application for branch establishment. 

• If the dossier is incomplete, the enterprise will be notified to make amendments and supplements within the prescribed time limit. 
• Besides, if the application is complete or has been duly supplemented, the Business Registration Office will process the enterprise’s application.

Step 3: Receive the result

The Business Registration Office enters information into the National Business Registration Information System to request a branch number. Then, issue a branch operation registration certificate to the enterprise.

Submit the application online

• Submit your application online on the National Portal on business registration: dangkykinhdoanh.gov.vn
• Enterprises register for a business account (in case they do not have a business account and register for the first time).
• Enter business information established on the account according to the instructions.
• Scan the PDF file and then send it to the registered account and press the submit button to the business registration office.
• Based on the appointment time to return the results, the enterprise shall bring a set of business registration application (paper copy) together with the receipt of the enterprise registration dossier via electronic network to the Business Registration Office to receive the Certificate of Business registration.
