Regulations on branches of foreign law firms in Vietnam

– Firstly, branch is a dependent unit of a foreign law firm in Vietnam. Branches may perform tasks authorized by a foreign law firm in Vietnam accordingly the field of practice stated in the License to establish a foreign law firm in Vietnam.

– Secondly, foreign law firms in Vietnam must be responsible for the operation of the branch.

– Lastly, foreign law firms in Vietnam are allowed to set up branches inside and outside the provinces and centrally-run cities where they register their operations.

Dossier to establish a branch of a foreign law firm in Vietnam

Accordingly Clause 5, Article 81 of the Law on Lawyers 2006, amended and supplemented in 2012 , the application file for establishment of a branch includes:

– An application for establishment of a branch;

– A copy of the license for establishing a foreign law firm ;

– Power of attorney for the lawyer to act as the head of the branch;

– A copy of the practicing license of the lawyer authorized to act as the head of the branch;

– Documents proving the branch office.

Time limit for settlement

A foreign law firm in Vietnam must submit a dossier of establishment of a branch to the Ministry of Justice. Within thirty days from the date of receipt of complete dossiers and fees, the Ministry of Justice shall consider and grant a branch establishment license, in case of refusal must be notified in writing.

In addition, within ten working days after receiving the branch establishment license; the foreign law firm must register its branch operation at the Department of Justice in the locality; where the branch’s head office is located.
